The legal entity you are entering into this User Agreement is with TransportBids LLC, a
Georgia Corporation, located in Acworth, GA 30101.
Upon acceptance of this User Agreement, you hereby agree and acknowledge that this User Agreement may be
modified
at any time, at the sole discretion of TransportBids. Should changes to this User Agreement occur,
TransportBids
will notify you by posting the modified User Agreement on the TransportationBids website and may send
notification of such changes via email. Any changes made to this User Agreement shall take effect
immediately.
Your continued use of the TransportBids website and underlying services following the effective date of any
such
changes made to this User Agreement will constitute your acceptance to any and all modified terms.
TransportBids
reserves the right to make changes to this User Agreement at any time and without notice and without any
liability or responsibility to you.
TransportBids offers a venue where seekers of auto transport services can interact with and enter into
agreements
for auto transport services. TransportBids is not responsible and is not a part of any agreement made
between
users of the TransportBids platform. TransportBids does not guarantee any terms of business between you and
other users of the TransportBids platform. TransportBids is not responsible or liable for any loss, damage
or
injury that may occur as the result of your choice to engage with another user of the TransportBids
platform.
You are responsible for protecting your login credentials. You are responsible for any all interactions that
may
occur while using your credentials. You agree that any damage resulting from the unintended use of your
credentials is your responsibility and that TransportBids is not liable or responsible for any loss or
damage to
you or your business.
- TransportBids will never intentionally share or sell your information without your consent. You agree
and
acknowledge that TransportBids collects basic information in order to adequately provide its service
effectively. You agree and acknowledge that TransportBids may use your information to communicate
information about, or related to the TransportBids platform including, but not limited to, service
and
future services. - TransportBids owns all contained intellectual property within the TransportBids platform and retains
all
the pertinent interests, rights and title thereto. TransportBids claims ownership rights under the
copyright and trademark laws in regard to the “appearance" and “business function" of the included
TransportBids services including, but not limited to, all design and functions of the underlying
platform. You have the non-exclusive right to use the TransportBids platform and its underlying
services. You agree not reuse, sell or resell, reproduce, reverse engineer, modify,
display,distribute
or use in any other way for public or commercial purpose without the written consent of
TransportBids.
You agree not to engage in any “hacking" or other action with the intent on harming or causing
damage to
the TransportBids platform or any other user of the TransportBids platform. You may not misuse the
TransportBids platform or services. You may use the TransportBids services only as permitted by law. -
- Shipper
- A person or company that is seeking to have vehicles transported on their own behalf. Shippers
may
be referred to as “User" or “Customer" also. - Transporter
- Any party, person, agent, or Carrier that provides auto shipping transport. This includes
Carriers,
Brokers and any other third-party logistics providers. Transporters may be referred to as
“Broker"
or “Carrier" . - Carrier
- A person or company who provides auto transport for compensation.
- Broker
- A person, agent or company which, for compensation, arranges, or offers to arrange, the
transportation of vehicles by an
authorized Carrier. - Auction
- The process by which bids are made in order to win the Shipper’s auto transport business.
TransportBids is not a Shipper, Transporter, Carrier or Broker. TransportBids provides a venue for auto
transport seekers to find and engage with auto transport brokers or carriers using a revers-auction
based on
pricing. TransportBids does not oversee the quality of service provided by Transporters. TransportBids
does
not guarantee the pricing offered by Transporters. TransportBids is not a third-party to any agreement
made
between TransportBids users. TransportBids does not prequalify or validate any claims or qualifications
of
Transporters. TransportBids does not validate anything related to compliance of Transporters. You agree
to
engage with, and may enter into an agreement with, Transporters under your own judgement and free will
and
assume any and all risk that may result from that engagement. TransportBids does not guarantee, control
or
enforce in any way the ability for Users to complete or fulfill any services offered under the
TransportBids
platform. All attempts to verify Transporters and/or enforce fulfillment of service are based on a “best
efforts" basis and should not be relied upon by Users. Any and all representations, warranties and
agreements are solely made between You and the other Users of the TransportBids platform.- You must be at least 18 years of age to user our service. You must be able to form legally binding
contracts under applicable law. You agree and attest that you have all the necessary qualifications,
certifications and licensing required by law to operate and offer your service to qualifying Users.
You
agree that TransportBids reserves the right to revoke your access for any reason and is not
responsible
or liable for any damage or harm that that may come to you or your business as a result from that
revocation or stopped service. Users will not have access to our service if User access is revoked.
Users that post fraudulent auctions will have their service access revoked indefinitely. - You are responsible for contacting and qualifying the Shipper. TransportBids does not guarantee the
authenticity or claims made by the User. You agree to engage with the User at your own free will.
You
agree to provide professional, high qualify service to all Users you interact with from the
TransportBids platform in order to remain in good standing and maintain site access. You must agree
and
adhere to our Transporter Fee. - You must agree to pay TransportBids $25.00 for every awarded Auction. Fees will not be applied on
test
auctions. TransportBids will send weekly invoices consisting of the accumulated “won" auctions for
the
corresponding week. Users who post unauthentic auctions will have their access revoked indefinitely.
You
agree not to mislead or misinform TransportBids to avoid payment on legitimate transactions that
occur
as a result of using TransportBids or risk losing Site Access and Service indefinitely. You agree
and
acknowledge that TransportBids cannot control and cannot be responsible for User’s ability or will
to
fulfill their obligation for payment to you. You are responsible for entering into and engaging with
a
User and agree to pay TransportBids their service fee regardless of a successfully fulfilled
transaction
or not. If you fulfill your obligation and the User fails to pay, you are still responsible to pay
the
$25.00 fee to TransportBids. Failure to fulfill your fee obligation will result in revocation of
Site
Access and Service. TransportBids reserves the right to change the Transporter Fee at its sole
discretion. Transporters will be notified of any planned Transporter Fees by posting changes to our
website and through email. Continued use of the TransportBids platform will constitute your
acceptance
of the new pricing from the effective price change date and any auctions won from that effective
date
forward will be billed according to the new changes. - Transporters may be given a variety of ways to pay their fees. TransportBids reserves the right to
revoke
Site Access and Service at any time including, but not limited to, non-payment. - Information and data you provide must be true, accurate, legal and non-fraudulent and must not be
submitted with the intent to mis-lead or harm TransportBids or its Users or any third-party.
TransportBids does not authenticate, validate or ensure the accuracy of the data you or its Users
submit. You agree that TransportBids is not liable or responsible for any damage or harm that may
result
from any of your online communication or distribution of information. Violation of our Data Policy
will
result in revocation of Site Access and Service. TransportBids reserves the right to keep all
records of
any and all transactions, exchanges of information and communication between users through the
TransportBids platform for administration purposes. - Disputes between Users must be handled between Users accordingly. Fraudulent claims, inaccurate
information or defamation distributed about TransportBids or any User is strictly prohibited will
result
in the revocation of Site Access and Service, and may be punishable by law. Should you have a
dispute
with one or more TransportBids users, you release TransportBids, its officers, directors, agents and
employees from all claims, demands, and damages of any kind and nature, known and unknown, suspected
and
unsuspected, disclosed and undisclosed arising out of or in any way connected with such disputes
and/or
this User Agreement. - As a result of the performance of this Agreement and whether due to any intentional or negligent act
or
omission, we may disclose to You or You may otherwise learn of, or discover, our documents, business
practices, object code, source code, management styles, day-to-day business operations,
capabilities,
systems, current and future strategies, marketing information, financial information, software,
technologies, processes, procedures, methods and applications, or other aspects of our business
(“Our
Information"). You hereby agree and acknowledge that any and all of Our Information is confidential
and
shall be our sole and exclusive intellectual property and proprietary information. You agree to use
Our
Information only for the specific purposes as allowed by the performance of this Agreement. Any
disclosure of Our Information to a third party specifically including a direct competitor is
strictly
prohibited. All obligations contained in this Section 26 shall survive the termination of this
Agreement. Furthermore, You acknowledge that Our Information is proprietary, confidential, and
extremely
valuable to us, and that we would be materially damaged by your disclosure of Our Information. You
acknowledge and agree that monetary damages provide an insufficient remedy for the breach of this
confidentiality obligation, and that we shall be entitled to injunctive relief in addition to
recovery
for damages. - You agree and acknowledge that TransportBids cannot guarantee the continuous and uninterrupted
operation
or access to our platform and services, including those of any third-party systems and components.
You
understand that technical outages or other events may cause interruption to our services. You agree
that
TransportBids is not responsible for any delays, outages, failures or any other interruption in
business
services offered through our platform, including, but not limited to, third party components and
services and that our service is being provided to you on an “AS IS" and “AS AVAILABLE" basis.
Accordingly, to the extent permitted by applicable law, we exclude all expressed or implied
warranties,
whether expressed or implied, including, but not limited to, the implied warranties of
merchantability,
title, fitness for a particular purpose. You agree and acknowledge that TransportBids makes its best
efforts to avoid any type of security breach of any kind, accordingly, you agree and acknowledge
that
TransportBids, its officers, directors or employees will not be held liable or responsible for any
damage, known or unknown, caused by a security breach or any other security intrusion on the
TransportBids platform. - You agree to fully indemnify, hold harmless and defend TransportBidss and its directors, officers,
employees, agents, stockholders and Affiliates from and against all claims, demands, actions, suits,
damages, liabilities, losses, settlements, judgments, costs and expenses (including but not limited
to
reasonable attorney’s fees and costs), whether or not involving a third party claim, which arise out
of
or relate to any act or omission of TransportBids. - As part of our services, we may provide or display third party information, TransportBids disclaims
any
and all liability, including
any expressed or implied warranties, whether oral or written, for such third party services. You
acknowledge and agree that no representation has been made by TransportBids as to the fitness of the
third party services for the User’s intended purpose and that TransportBids does not control,
validate,
endorse or assume responsibility for those third party services. - This agreement and your use of our services shall be governed by the laws of the state of
Florida. - If any term or provision of this Agreement is invalid, illegal, or unenforceable in any
jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or
provision of this Agreement
or invalidate or render unenforceable such term or provision in any other jurisdiction.
